MIDWIFEPLUS TOKEN PURCHASE TERMS

1. Introduction

These Token Purchase Terms apply to all purchases of tokens through the MidwifePlus Platform.

By purchasing tokens, you agree to be bound by these Terms in addition to the MidwifePlus Independent Midwife Platform Agreement.

2. Purpose of Tokens

2.1 Tokens enable registered Midwives to unlock and view the contact details of prospective clients who have submitted service requests through the Platform.

2.2 Tokens do not constitute the purchase of work, appointments, bookings, or guaranteed income.

2.3 Purchasing a token provides access to client contact information only.

3. Token Purchases

3.1 Tokens must be purchased in advance through the Platform.

3.2 Token prices may be amended by MidwifePlus from time to time.

3.3 Any changes to pricing will not affect tokens already purchased.

3.4 Tokens have no cash value and may not be exchanged for money.

4. Lead Information

4.1 Before unlocking a lead, Midwives will be provided with certain information, which may include:

  • General location
  • Type of support requested
  • Approximate service requirements
  • Timing of the request

4.2 It is the Midwife’s responsibility to review this information before deciding whether to use a token.

4.3 Midwives should carefully consider factors such as travel distance, availability, and suitability before unlocking a lead.

5. No Guarantee of Work

5.1 MidwifePlus does not guarantee that:

  • A client will respond.
  • A client will engage the Midwife.
  • A booking will be secured.
  • A service will proceed.
  • Payment will be received.

5.2 The Midwife accepts that client enquiries may be exploratory and may not result in a booking.

5.3 MidwifePlus does not guarantee the volume, quality, frequency, or value of client enquiries received through the Platform.

6. Non-Refundable Tokens

6.1 All token purchases are final.

6.2 Tokens are non-refundable once purchased.

6.3 No refund, credit, or replacement token will be provided where:

  • The client does not respond.
  • The client chooses another Midwife.
  • The Midwife decides not to pursue the enquiry.
  • The Midwife determines the location is unsuitable.
  • The client cancels services.
  • A booking does not result.

6.4 Midwives are responsible for reviewing the available lead information before unlocking contact details.

7. Exceptional Circumstances

MidwifePlus may, at its sole discretion, issue a replacement token where:

  • Duplicate leads have been generated in error.
  • Client contact details are clearly incomplete due to a system fault.
  • A technical error has prevented access to purchased information.

Any decision to issue a replacement token shall be entirely at MidwifePlus’ discretion and shall not create any obligation to do so in future cases.

8. Token Usage

8.1 Tokens may only be used by the registered Midwife who purchased them.

8.2 Tokens may not be:

  • Shared
  • Sold
  • Transferred
  • Gifted
  • Exchanged

without the prior written consent of MidwifePlus.

8.3 MidwifePlus reserves the right to suspend or terminate accounts where misuse of tokens is suspected.

9. Account Closure

9.1 Unused tokens will remain on the Midwife’s account unless otherwise stated by MidwifePlus.

9.2 If an account is terminated due to breach of Platform Terms, any unused tokens may be forfeited without compensation.

10. Limitation of Liability

To the fullest extent permitted by law, MidwifePlus shall not be liable for:

  • Lost earnings
  • Missed opportunities
  • Client cancellations
  • Unsuccessful enquiries
  • Business losses
  • Consequential or indirect losses

arising from the purchase or use of tokens.

11. Amendments

MidwifePlus may amend these Token Purchase Terms at any time by publishing updated Terms on the Platform.

Continued use of the Platform constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by the laws of England and Wales.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Acknowledgement

By purchasing tokens through the MidwifePlus Platform, the Midwife confirms that they understand and agree that:

  • Tokens purchase access to client contact details only.
  • Tokens do not guarantee bookings or income.
  • Tokens are non-refundable except where MidwifePlus determines that a technical error has occurred.
  • The Midwife is responsible for assessing the suitability of a lead before unlocking contact details.
