Non-Circumvention

The Midwife acknowledges that all client enquiries, service requests, leads, and contact information made available through the MidwifePlus Platform are valuable business assets of MidwifePlus.

Client information accessed through the Platform is provided solely for the purpose of enabling the Midwife to assess and respond to a potential service request.

The Midwife shall not:

• Share, sell, transfer, distribute, or disclose client contact details or enquiry information to any third party without the client’s express consent;
• Allow another individual, organisation, agency, or healthcare professional to use client details obtained through the Platform;
• Purchase tokens or unlock client details on behalf of another person or organisation;
• Resell, trade, exchange, or otherwise commercially exploit client leads obtained through the Platform;
• Use information obtained through the Platform for purposes unrelated to the client’s requested services.

Where a Midwife determines that they are unable or unwilling to provide the requested services, the Midwife may recommend that the client returns to the MidwifePlus Platform to seek alternative support. The Midwife shall not transfer or distribute the client’s details to another practitioner without the client’s informed consent.

The Midwife shall take all reasonable steps to protect the confidentiality and security of client information obtained through the Platform.

Any breach of this clause shall constitute a material breach of this Agreement and may result in:

• Immediate suspension or termination of Platform access;
• Removal of the Midwife’s profile;
• Forfeiture of any unused tokens;
• Legal action to recover losses suffered by MidwifePlus.

MidwifePlus reserves the right to investigate suspected misuse of client leads and to take such action as it reasonably considers necessary to protect the integrity of the Platform and its users.

Nothing in this clause prevents a Midwife from continuing a professional relationship with a client who was introduced through the Platform, provided that the relationship arises from a legitimate introduction made through MidwifePlus and is conducted in accordance with applicable laws, professional obligations, and the terms of this Agreement.
